Customer Referral Program

Terms and Conditions

PLEASE READ THESE TERMS CAREFULLY

By participating in the Widewail Customer Referral Program, you agree to be bound by these Terms and Conditions. Widewail reserves the right to modify, suspend, or terminate the program at any time. These terms constitute a legally binding agreement between you and Widewail, Inc.

1. Program Overview

The Widewail Customer Referral Program ("Program") allows eligible Widewail customers ("Referrers") to earn gift card rewards by referring new prospective customers ("Referred Contacts") to Widewail, Inc. ("Widewail," "we," "us," or "our"). The Program is administered by Widewail and subject to these Terms and Conditions ("Terms").

Widewail's products and services are designed for automotive dealerships and related businesses. Accordingly, Referred Contacts must represent a qualifying dealership or automotive business and must hold the authority to evaluate and approve a purchase decision on behalf of that business.

2. Eligibility

To be eligible to participate in the Program as a Referrer, you must:

 

Be an active Widewail customer in good standing at the time of referral submission and at the time any reward is issued.

Have a valid, active subscription or service agreement with Widewail.

Be 18 years of age or older.

Not be an employee, contractor, officer, or director of Widewail or a member of their immediate household.

Referred Contact Eligibility — Dealership Requirement

 

To qualify for any reward under this Program, the Referred Contact must meet all of the following criteria:

Dealership affiliation: The Referred Contact must be an employee of an automotive dealership or dealership group that is not currently a Widewail customer and is not engaged in an active sales conversation with Widewail at the time of submission.

Decision-making authority: The Referred Contact must hold a title or role that grants them meaningful authority to evaluate, recommend, or approve the purchase of third-party software or services on behalf of their dealership. Qualifying roles include, but are not limited to: Dealer Principal, General Manager, Fixed Operations Director, Marketing Director, Digital Marketing Manager, or equivalent positions with purchasing authority.

Verified by Widewail: Widewail will verify the Referred Contact's role and purchasing authority as part of the standard qualification process. A Referrer will not qualify for any reward if the Referred Contact is determined by Widewail, in its sole discretion, to lack the authority to make or meaningfully influence a purchase decision.

Important: Ineligible Contacts Will Not Qualify for Rewards

If the Referred Contact is found to be a non-decision-maker — including but not limited to reception staff, service advisors, sales associates, or other employees without purchasing authority — the referral will be disqualified and no reward will be issued, regardless of whether the referral form was submitted in good faith. Widewail's determination of a contact's eligibility is final.

The following are not eligible to be submitted as Referred Contacts:

Existing Widewail customers or any entity currently in an active sales conversation with Widewail.

Former Widewail customers whose contracts were terminated for cause.

Widewail employees, contractors, or their affiliated entities.

Any individual who does not work at an automotive dealership or related automotive business.

Any individual who lacks the authority to make or meaningfully influence a purchasing decision on behalf of their employer.

3. How to Participate

To submit a referral, eligible Referrers must:

Complete the referral submission form via the official Widewail referral landing page.

Provide accurate and complete contact information for the Referred Contact, including their name, job title, dealership name, and a valid business email address.

To the best of their knowledge, confirm that the Referred Contact is a dealership employee with the authority to evaluate or approve purchasing decisions for their dealership.

Obtain the Referred Contact's consent to share their information with Widewail prior to submission.

Referrals submitted through any channel other than the official referral form are not eligible for rewards. Widewail reserves the right to disqualify referrals that are incomplete, inaccurate, submitted in bad faith, or where the Referred Contact does not meet the eligibility criteria set forth in Section 2.

4. Rewards

Eligible Referrers may earn the following rewards, subject to all eligibility requirements being met:

Both rewards may be earned for a single referral. The $25 submission reward and the $100 conversion reward are issued separately and are not contingent on each other, except that the $100 reward requires a valid prior submission and confirmation that the Referred Contact met all eligibility requirements at the time of submission.

Rewards are issued in the form of a digital gift card delivered via email to the Referrer. Gift cards are non-transferable, non-exchangeable for cash, and subject to any terms imposed by the gift card issuer.

Widewail reserves the right to withhold or revoke rewards if it determines that a referral was submitted fraudulently, in violation of these Terms, if the Referred Contact is found to not meet eligibility requirements, or if the Referrer's account is no longer in good standing at the time of reward issuance.

5. Reward Limits and Restrictions

There is no limit to the number of referrals a Referrer may submit, provided each referral meets the eligibility criteria.

Each Referred Contact may only be submitted once. Duplicate submissions for the same Referred Contact will be disqualified.

If two Referrers submit the same Referred Contact, the reward will be issued solely to the first eligible submission as determined by Widewail's records.

Rewards are subject to applicable federal, state, and local tax laws. Referrers are solely responsible for reporting and paying any taxes owed on rewards received. Widewail may issue a Form 1099 or other required tax documentation where applicable.

6. Reward Timing and Delivery

Rewards will be issued as follows:

$25 submission reward: Delivered via email within 3 business days of a valid referral form submission, subject to verification that the Referred Contact meets eligibility requirements.

$100 conversion reward: Delivered via email within 3 business days of the Referred Contact's deal being marked Closed Won in Widewail's CRM.

Widewail is not responsible for delays or failures in gift card delivery caused by incorrect email addresses, spam filters, or third-party service disruptions. Referrers should contact sales@widewail.com if a reward is not received within the stated timeframe.

7. Referrer Conduct

Referrers agree to:

Only submit referrals for contacts who have provided genuine consent to be contacted by Widewail.

Only submit referrals for contacts who, to the best of their knowledge, are dealership employees with the authority to evaluate or approve purchasing decisions.

Not misrepresent Widewail's products, services, pricing, or the terms of the referral program when speaking with Referred Contacts.

Not submit referrals using automated tools, bots, or any means intended to game or manipulate the Program.

Not engage in any behavior that could harm Widewail's reputation or business interests in connection with the Program.

Widewail reserves the right to disqualify any Referrer and revoke pending or issued rewards if the Referrer is found to have violated these conduct standards or these Terms in any way.

8. Privacy and Data Use

By submitting a referral, the Referrer represents and warrants that they have obtained all necessary consents from the Referred Contact to share their personal information (including name, job title, company, and email address) with Widewail.

Widewail will use information submitted through the referral form in accordance with its Privacy Policy, available at https://www.widewail.com/privacy-policy. Referred Contact information will be used solely for the purpose of evaluating the referral and reaching out regarding Widewail's products and services.

9. Program Modifications and Termination

Widewail reserves the right, in its sole discretion, to:

Modify, suspend, or terminate the Program at any time, with or without notice.

Change the reward amounts, reward structure, or eligibility criteria at any time.

Disqualify any participant who violates these Terms or engages in fraudulent activity.

Any modifications to the Program will be effective upon posting of updated Terms. Continued participation in the Program following any modification constitutes acceptance of the revised Terms. Referrals submitted prior to a program change will be honored under the terms in effect at the time of submission, except in cases of fraud or abuse.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WIDEWAIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE PROGRAM, INCLUDING BUT NOT LIMITED TO LOSS OF REWARDS, LOSS OF PROFITS, OR ANY RELIANCE ON PROGRAM TERMS.

Widewail's total liability to any Referrer in connection with the Program shall not exceed the total value of rewards actually issued to that Referrer.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Vermont, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Vermont.

12. General Provisions

These Terms constitute the entire agreement between Widewail and the Referrer with respect to the Program and supersede all prior understandings.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Widewail's failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

These Terms may not be assigned or transferred by a Referrer without Widewail's prior written consent.
